SB Energy, an AI-focused data center developer backed by SoftBank, Nvidia, and OpenAI, has filed for an initial public offering (IPO) with the U.S. Securities and Exchange Commission (SEC). The filing highlights the company’s substantial financial and operational reliance on OpenAI, its largest tenant and equity investor, as a central risk factor.
SB Energy’s IPO filing confirms OpenAI’s outsized role in its business model. The company states that OpenAI is a critical anchor tenant, representing a significant portion of its signed lease capacity. OpenAI also holds up to $5.5 billion in stock warrants and has the option to acquire a 5% ownership stake, which would grant it a seat on SB Energy’s board. Additionally, OpenAI is involved in financing and development agreements, including a $105 billion commitment from Nvidia for an 8-gigawatt data center in Southern Ohio, one of the largest in the world.
SB Energy has not yet generated revenue from its AI data centers, which remain under construction. For the first half of 2026, the company reported $139 million in revenue—primarily from its legacy energy business—and $3.2 billion in net losses, attributed to substantial investments in its data center strategy. The IPO aims to raise between $5 billion and $7 billion, with trading expected on the Nasdaq and Nasdaq Texas under the ticker symbol SBE. SoftBank, which owns more than half of SB Energy, is the controlling shareholder.
Core Dependence on OpenAI
SB Energy’s SEC filing explicitly warns of its heavy reliance on OpenAI, stating that any adverse change in OpenAI’s financial condition, competitive position, or willingness to fulfill contractual obligations could materially and adversely affect its business. OpenAI’s CEO, Sam Altman, was an early personal investor in SB Energy, further entangling the two companies. The filing notes that OpenAI’s performance under lease and related agreements is directly tied to SB Energy’s near-term revenues, project-level financing, and development plans.
Financial and Operational Structure
SB Energy is developing its first two data center sites in Texas, with one allocated to OpenAI and the other to SoftBank. The company is also advancing plans for the Ohio data center, which will be built with support from OpenAI and Nvidia. The Ohio facility, at 8 gigawatts of capacity, is designed to serve OpenAI’s compute needs. Nvidia’s financing is structured to unlock investment-grade funding and ensure the project’s success, according to SB Energy CEO Rich Hossfeld.
IPO Timeline and Market Context
While SB Energy has not announced a specific pricing or debut date, reports suggest trading could begin as soon as this month. The IPO prospectus also includes risk factors related to concentration risk, as OpenAI’s role extends beyond leasing to include equity investments and board representation. The company’s heavy dependence on a single tenant contrasts with its lack of operational revenue from AI data centers, raising questions about its long-term financial sustainability.
